The website http://chemtopper.com , hereinafter referred to as the 'Site' which includes all softwares and related concepts, programs etc. is owned and operated by Chemtopper. ('the Owner', 'we', 'us', 'our').

The User Agreement given out below lays down the Terms & Conditions of Use of the site between us and the user ('you'). Please read the Terms & Conditions of Use ('User Agreement') before you use or access the Site. The term user includes any person who registers on the site or another user nominated by him to use the site. The User must agree to be bound by and abide by the User Agreement before he / she can use the site.

Please read the Terms & Conditions of Use ('User Agreement') carefully before proceeding with the registration. If you do not agree with the Terms & Conditions of Use ('User Agreement'), please do not continue with the registration process. The Terms & Conditions of Use ('User Agreement') may be updated any time. The changes become effective as soon as they are uploaded to the site and your continued use of the site confirms that you accept and agree to be bound by and abide by the updated Terms & Conditions of Use ('User Agreement').

Please do not enter into the User Agreement, if you have not attained the legal age of entering into a binding and legal contract or you have been barred under the laws of India or other countries including the country in which you are resident or from which you use the Site, from using or accessing the Site.

A minor can use this site only after the registration has been completed by his/her parents/guardian who has attained the legal age of entering into a binding and legal contract and permits the use of the site by the minor under his/her supervision.

You solemnly agree that:

• You shall provide true, accurate, current and complete information about yourself on the registration form and the My Profile page under the My Account. You agree to update the data promptly so that it is true, accurate, current and complete in all respects. In case any information is provided that is untrue, inaccurate, not current or incomplete, your further use of the site can be restricted or your account can be terminated by us without any liability to you.
• The personal information provided by you on the website shall not be shared with any other party. However the same may be disclosed if required to comply with legal processes or protect the rights, property, or safety of the Company, of our users, and /or the public.
• You shall be solely responsible for maintaining the confidentiality and secrecy of your account, password etc.
• Your account is not transferable or assignable. All activities carried out from your account after logging in with your username and password will be attributed to you and you shall be responsible for the same. You will notify the site administrators about any unauthorized use of your password or account or any other breach of security promptly. We shall not be responsible or liable for any losses suffered by you due to unauthorized use of your password or account.
• You shall not share your account with any other person or access the site in groups. Any attempt to do so would lead to a disqualification of the account holder.
• The permission to use / access the Site is solely at our discretion and can be withdrawn at any time even if the site charges have been paid. The permission to use / access the site can be withdrawn in the event that you fail to pay any part of the Charges as and when they become due or if in our opinion there is any misuse or inappropriate use of the Site
• You understand and accept that use or access of the Site is entirely at your own risk.
• We do not receive or store any information related to your credit cards or any other financial instruments. The payments are processed over Paypal Payment Gateway and the rules and regulations as given out on their website apply. We shall not be responsible or liable for any losses that may occur to you due to any unauthorized use of your credit card or financial instruments.
• Free Trials. Free trials are provided to the students in order to adjudge the tutors and gain confidence in them. All Terms of Use also apply during the Free Trial period. The Free Trial sessions are limited in duration to that mentioned on the Free Trials page. The Free Trial facility may not be used more than once for each subject and its further use will be solely at our discretion. The facilities made available during the period of Free Trials may be limited at our discretion.
• Site Charges. At the moment the charges are being levied for the paid online tutoring sessions and homework / assignment help. Further charges may be levied as per our discretion. The charges can also be changed without prior notice and become effective as soon as they are published on the site. Any further purchases will be as per the new rates as published on the website. All facilities must be paid for in advance. We may offer promotions to selected customers only and cannot be demanded as a right by you. In case the site is discontinued or pulled out, the proportionate charges as per the unused amount may be refunded to you.
• Refund Policy - No refund of unused sessions will be made after the package expiry date. In case any refund of sessions is sought within the expiry date of package, proportionate amount of unused session as per payment actually received by the site may be refunded after deduction of administrative charges. While working out the cost of sessions utilized, the charges per session will be worked out as per cost of package for number of sessions which is lower than number of sessions actually utilized. As an example, if 12 sessions are utilized out of a package of 30 sessions, in case of a refund, the 12 sessions will be charged as per session cost of 10 sessions package.
• Administrative Charges on Refund. In all cases of refund due to any reason, administrative charges of 10 % will be levied,
• All equipments, hardware and software required by you to access the site and its facilities will be paid for by you.
• While it shall be our efforts to provide Site availability at all times, due to technical reasons the user may not be able to access the site. You agree that No claims shall be made against us for inability to use the facilities provided on the site. There are also third party tools which are used by our site. While we have integrated these third party products onto our website, their availability is subject to these tools being maintained by their respective providers and no claim shall be made against us for non availability / non functionality of these tools.
• All interactive sessions that you may have on this site would be recorded and saved for as long as desired by us.
• The online-tutors, teachers, consultants, counselors, etc on this site are not our agents, employees, representatives etc and are deemed to be third party consultants. We are only providing the site and facilitating the contact between you and such third party consultants. The consultants have been engaged to assist you with your individual requirements. We do not in any manner warrant that with the use of this site or interacting with the third party consultants, you would gain in many manner or that you would perform any better than you have been doing till now or maintain / sustain your present performance. You agree not to hold us responsible for any such claim.
• Though reasonable care has been taken while selecting the third party consultants towards their knowledge of the subjects and imparting of instructions in that subject, we cannot be held accountable for their performance which does not meet your requirements. In case of any third party consultant not performing upto the expectations, you are advised to inform us of the same and corrective action would be taken expeditiously on that. You are also advised to provide correct session feedback which would help us in improving quality of instruction being imparted by them.
• The exchange of information between you and the third party consultant is beyond our control and we cannot be held responsible for the same. In case of any objectionable content being conveyed by the third party consultants, the same be brought to our notice immediately and we shall act appropriately upon that. However we would not be held liable for any information / content exchanged between you and the third party consultant. In case of minors using the site with the consent of the parents, the parents are advised to monitor the sessions by logging into the account and joining the ongoing session or review the conducted sessions. In case anything objectionable is observed, the same should be brought to our notice.
• You agree that you shall not make any attempt to access the site by any scripts or web crawlers or upload any code of any kind. The website shall be accessed through the interface provided on the site only.
• You shall use the Site for permitted and lawful purposes only. You are solely responsible for the knowledge of and adherence to all applicable laws, rules, and regulations as relevant to your country pertaining to your use of the Site
• You will treat all third party consultants and other users with respect and dignity and not use obscenities or any objectionable material on the Site, make threats, or discuss matters other than those directly related to the subject matter of the facility concerned
• Personal Contact with Third Party Consultants outside the Site. You agree that you will neither solicit any personal information or any other information which is not related to the subject matter in which the third party consultant is assisting you, from any third party consultant and nor shall you disclose any such information to any of them. If any third party consultant ever discloses such information to you or asks you to disclose such information you agree to immediately report this to us by email. You shall not ask the third party consultant for any offline meeting or conversation of any kind other than this site and you shall not agree to any such request by any third party consultant. You shall not pay any amounts directly to any of the third party consultants. You shall promptly notify us by email if any such request is made by any third party consultant.
• You shall not reproduce, duplicate, copy, sell, trade or resell the Site or its contents for any purpose.
• You shall ensure that no materials of any kind submitted through your account or shared by you on or through the Site will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. You shall not post, use for yourself, modify, distribute, or reproduce in any manner any copyrighted material, trademarks, or other proprietary information belonging to us or to others.
• You shall not post content or initiate communications which are unlawful, libelous, abusive, obscene, discriminatory, invasive of privacy or publicity rights, hateful, or racially, ethnically or objectionable in any manner.
• You shall not make any communication to the third party consultants which is not connected to the matter in which you are being assisted by them.
• You shall not harvest or collect email addresses or other contact information of other users from the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.
• You shall not use the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site;
• You shall not falsely state, impersonate, or otherwise misrepresent your identity, upload photographs of celebrities in your profile.
• You shall in no manner interfere with or disrupt the Site or servers or networks connected to the Site.
• You shall not commit any fraudulent or unlawful act, whether in relation to any third party provider of products and services or the site.
• You are entirely responsible for compliance with all applicable local laws, rules, regulations etc
• You agree that you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely to cause confusion about the their ownership or authorized use or may amount to infringement of any such rights and you alone shall be responsible for any claims in this regard.
• We shall not be responsible for any content or materials which may be located at links to third party sites provided on this site or by any third party consultants. We shall not be responsible or liable, in any manner whatsoever, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, links, goods or services available on or through any such site or resource.
• We are free to use any material contained in any communication you may send or receive including those sent or received from or to the third party consultants for any purpose whatsoever You also grant us a perpetual, non-exclusive, royalty-free irrevocable license and right to display, use, reproduce or modify the material submitted in any media, software or technology .
• No Site Content may be modified, enhanced, edited, altered, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part. • The license / the account shall account terminate forthwith on the death of the nominated user. The registration is not inheritable.
• Termination of your use and access license shall not absolve you of the accrued liabilities/ obligations in terms of the User Agreement.
• On termination of your or the nominated user's license to use or access the Site you shall forthwith discontinue any use or access to or of the Site, directly or indirectly, in any manner whatsoever, regardless of any dispute about the legality or validity of the termination. Your user account and password shall be de-activated. Any use or access of the Site shall be illegal and unauthorized and you shall be liable to compensate us for the same.
• By using the service of this site, you consent to receiving electronic communications from us which may include information about your account and information related to the Site.
• Any notices required to be made to you may be made via email, mobile SMS or regular mail or by simply posting them on the Site. You agree that such notices by email, mobile SMS or regular mail, and such display of notices or links to notices on the Site, will constitute sufficient and adequate notice to you of the matters contained therein and will satisfy any legal communication requirements.

• We do not give any assurance that the Site or Content will be free from viruses or other harmful properties. It is your responsibility to implement satisfactory safeguards and procedures to make sure any files you obtain through the Site are free from such contaminations or viruses or other harmful properties.
• You agree that under no circumstances will we be held liable for any direct, indirect, incidental, foreseeable, unforeseeable or consequential or other type of loss, injury, claim, liability or damages of any kind resulting from your direct or indirect use or access to or of the Site.
• The User Agreement and the relationship between you and us shall be governed by the laws of India without regard to its conflict of law provisions. You and we agree to submit to the personal and exclusive jurisdiction of the courts located at New Delhi, India alone
• Any dispute arising out of or in relation to or in connection with the User Agreement or in relation to the use or access of the Site by you shall be referred to the arbitration of a sole arbitrator who shall be appointed/ nominated by us alone. The arbitration proceedings shall be conducted in accordance with the laws in force in India for arbitration at that moment.. The venue of arbitration proceedings shall be New Delhi, India. If any provision of the User Agreement is found by the arbitrator to be invalid, the parties nevertheless agree that the arbitrator should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the User Agreement shall remain in full force and effect.
